IP assignment terms

"You own all the code" is a claim on every page of this site. This is the clause that makes it contractual.

Standard starting text, published for transparency. Each engagement executes a tailored version; where a signed agreement differs from this page, the signed agreement prevails.

1. Assignment

Upon payment of each milestone, Meridianstacks assigns to the Client — fully, irrevocably and worldwide — all intellectual property rights in the deliverables created for the Client under that milestone: source code, designs, documentation, configuration and build artefacts. To the extent any rights cannot be assigned in advance, Meridianstacks holds them in trust for the Client and assigns them on request.

2. Moral rights

To the maximum extent permitted by applicable law, Meridianstacks and its engineers waive (or agree not to assert) moral rights in the deliverables.

4. Client materials and repositories

Everything the Client provides remains the Client's. Work happens in repositories owned and controlled by the Client from day one — access is granted to Meridianstacks, not the other way round — so possession of the code never depends on this clause being enforced.

5. Warranties

Meridianstacks warrants that deliverables are its original work (except disclosed third-party/open-source components), that it has the right to make this assignment, and that to its knowledge the deliverables do not infringe third-party rights.

6. Governing law

The assignment is governed by the law of the Client's jurisdiction as stated in the services agreement — England & Wales, Ireland, a Canadian province, the UAE (including applicable free-zone law), Sweden or Norway — with disputes resolved in that jurisdiction's courts or by agreed arbitration.
